TERMS & CONDITIONS - THE BASICS

1. Introduction
Welcome to Connectus Holdings, Inc. (“Connectus,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our website, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Eligibility

You retain ownership of any content you submit, post, or display on or through the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, modify, display, and perform the User Content in connection with the Services.

9. Termination
We may terminate or suspend your access to the Services, in our sole discretion, without notice or liability, for any reason, including if you breach these Terms. Upon termination, all licenses and rights granted to you under these Terms will immediately cease.

10. Governing Law and Dispute Resolution
10.1. Governing Law
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles.
10.2. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA) in Baltimore, Maryland. The arbitrator’s decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

11. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or other factors. We will notify you of any material changes by posting the updated Terms on our website and indicating the effective date. Your continued use of the Services after any changes signifies your acceptance of the updated Terms.

12. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Connectus regarding your use of the Services and supersede any prior agreements or understandings, whether written or oral.

12.4. Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.
